The Firm offers consultancy services in all areas of company law, both generic company law as well as with respect to corporate governance, and extraordinary transactions. The firm’s lawyers are committed to seeing the client through all the phases of each particular transaction even working in conjunction with external experts where the particular job so requires. The Firm also offers consultancy and assistance during incorporation, restructuring and development of companies.

INTERNATIONAL AND COMMERCIAL CONTRACTS

syn.pro assists its clients in drawing up commercial agreements, supply agreements, distribution agreements, sales and procurement procedures, franchising and joint venture negotiation and agreementsand sale or lease of going concern, also contributing to the analysis and management of all salient aspects of contractual and non-contractual negotiation, obligations and breach.

WHITE COLLAR CRIME

In view of meeting the Firm’s clients’ requirements syn.pro broadened its range of services extending it to commercial criminal law which falls within the scope of a select team of experienced lawyers specialising in criminal law and litigation. The Firm also assists clients in their corporate governance set up and in managing corporate risk, more specifically with respect to company law offences, bankruptcy and tax liability and in crimes against the Public Administration as well as environment law and liability for negligence of companies and their officers pursuant to Italian Legislative Decree 231/2001. In fact, the Firm assists clients in drawing up their organisation models pursuant to Italian Legislative Decree 231/200 and also in representing and defending the client during proceedings before the Supervisory Board and in the preparation and presentation of the defence brief with respect to any offence imputed to the client under Legislative Decree 231/01.

CORPORATE GOVERNANCE AND CONSULTANCY

syn.pro pays particular attention to private equity issues and the relative legal framework. In this regards, we cooperate with financial institutions (insurance companies, banks, SIM etc.) private equity funds, industrial group and development and capitalisation programmes, issue of minibonds and/or sale of portfolios.

PRIVATE INTERNATIONAL LAW

The Firm offers consultancy in international commercial law, constantly searching for and implementing new instruments to assist its clients in their international commercial and business relations ranging from setting up and organising production units to export of products and services to assisting them in setting up company branches and activities or deployment of personnel abroad. The Firm’s dedicated team is made up of experts in contract and international commercial law syn.pro provides consultancy services and assists its foreign corporate clients having business interests in Italy as well as Italian clients operating and investing overseas.

CUSTOMS LAW

The firm assists companies on each and every aspect of customs law including: analysing commercial transactions from a customs regulatory perspective, identifying ways  to optimise such transactions from a financial and procedural perspective, practical implementation of all the services necessary such as legal advice, applications and petitions to be filed with customs authorities, administrative licenses and maintaining relations with customs officials to handle customs managements of shipped goods. Such services can be provided in relation to past and future operations in order to reduce costs using the customs law instruments available for this purpose as well as to reduce risks of arduous litigation with authorities. Companies are offered assistance with respect to out-of-court matters and administrative procedures as well litigation before the Tax and Criminal Court; the aim to resolve possible disputes in the best possible manner and to implementation any recommendations or procedures imposed by the Customs authorities. We provide services to local and foreign Companies with respect to matters concerning Italian customs regulations and in maintaining relations with customs authorities as well as companies requiring “customs planning” consultancy services with respect to their international transactions.

TAX AND TAX PLANNING

The syn.pro team assists clients in tax assessment issues and tax litigation (representing clients before the Tax Audit Commission and higher courts) as well as in cross border and local extrajudicial activities. We provide clients with corporate tax planning advice on a wide range of issues including setting up permanent establishments, transfer pricing, relocation abroad, VAT issues and local and community tax.

EMPLOYMENT LAW

syn.pro works in cooperation with specialised lawyers and employment consultants in offering corporate clients consultancy of employment law particularly from the employer perspective. More specifically with respect to industrial relations and social services issues. Our areas of activity in this field include employment issues which our corporate clients may experience in the course of restructuring exercises, deployment of personnel, mergers and acquisition implementation of group policies, collective agreement negotiation, implementation of incentive plans and participation in procurement proceedings.

SHIPPING AND TRANSPORTATION

The Firm has a long standing experience in matters of transport law and in third parties’ logistics. The firm assists its clients in local, EU and international transport matters both before the courts as well as in the extra-judicial phase with particular regard to transport of goods, insurance and claims of damages for delays, damage and loss.

INSOLVENCY AND REORGANISATION

syn.pro is geared to assist corporate clients and individual traders in their efforts to overcome the recent slump by offering consultancy services in their restructuring efforts – both using innovative and/or alternative systems as well as in implementing credit management systems including new facilities or debt restructuring. The Firm also assists clients in insolvency and bankruptcy proceedings with particular focus on keeping abreast of the constantly changing bankruptcy legal framework.

LITIGATION AND ARBITRATION

syn.pro assists and represents its clients in all phases of the litigation process, including enforcement of both local and foreign judgements and arbitration awards. The Firm operates mainly in civil law, criminal law, commercial law and insolvency and bankruptcy proceedings. The Firm represents clients in arbitration proceedings, with experience both as arbitrators as well as legal counsel.
